PUBLIC OFFER
for the provision of website development and maintenance services by ZIVOTON**
This document is an official and public offer of ZIVOTON (hereinafter referred to as the Contractor) to conclude an agreement for the provision of website development and maintenance services with any individual or legal entity (hereinafter referred to as the Client) that accepts the terms of this Offer.
Zivoton is the legal successor of NTS (New Tab Space https://www.newtab.space)
Acceptance of the Offer is made by paying for services, filling out an application or providing materials to start work. From this moment on, the agreement is considered concluded.
1. Subject of the Offer
1.1. The Contractor provides the Client with website development services, SEO support, technical support, design and other related work agreed upon by the parties.
1.2. The list, scope, cost and terms of services are determined in the technical specifications, specifications or correspondence between the Client and the Contractor.
2. Work procedure
2.1. The Client undertakes to provide the Contractor with all necessary materials: texts, photos, videos, logos, accesses, etc.
2.2. In case of delay in the provision of materials, the deadline for the work is automatically postponed.
2.3. If the Client delays the materials for more than 30 calendar days, the project may be frozen and the payment will not be refunded.
2.4. Resumption of work after a long-term pause is possible only for an additional fee.
3. Rights and obligations of the Client
The Client is obliged to:
— comply with the norms of ethical communication;
— provide materials and make payment on time;
— accept stages of work within reasonable terms (1–3 days).
The Client is prohibited from:
— insulting, threatening or humiliating the Contractor’s employees;
— demanding services not provided for in the technical specifications without additional payment.
4. Rights and obligations of the Contractor
The Contractor undertakes to:
— perform work in accordance with the agreed technical specifications;
— inform the Client about the progress of the work;
— maintain the confidentiality of the Client’s materials.
The Contractor has the right to:
— postpone work in case of late payment or delay in materials;
— unilaterally terminate cooperation in case of insult or violation of the rules;
— blacklist the Client in case of gross violations.
5. Payment for services
5.1. The work is performed on the basis of partial or full prepayment.
5.2. In the event of the Client’s refusal from the project after the start of work, the payment is not refundable.
5.3. The fact of payment confirms acceptance of the terms of this Public Offer.
6. Refusal to cooperate
6.1. If the Client delays materials or payment for more than 30 days, the Contractor has the right to close the project without refunding the funds.
6.2. If the Client violates ethical standards (insults, inappropriate behavior), the Contractor may terminate cooperation immediately.
6.3. Violators may be included in the internal "black list" and deprived of the opportunity for further cooperation.
7. Guarantees and completion of work
7.1. After completion of work, the Contractor transfers access, files and other materials to the Client.
7.2. Minor corrections provided for in the technical specifications are performed during the warranty period - 7 days after submission of the project.
7.3. Additional changes are performed by separate agreement.
8. Confidentiality
All information and materials provided by the Client shall not be disclosed to third parties without consent, except as otherwise provided by law.
9. Dispute Resolution
9.1. All disputes shall be resolved through negotiations.
9.2. In the event of failure to reach an agreement, the dispute shall be referred to the relevant court of Ukraine in accordance with current legislation.
10. Offer Validity
This Offer is valid indefinitely and may be changed by the Contractor at any time. The current version is always available on the company's website.
